Round table: ICO: Hype or Revolution



Alexander Nadmitov, the managing partner of “Nadmitov, Ivanov and Partners” moderated a discussion  on ICO: Hype or Revolution, which was held within the framework of Harvard club of Russia. Panelists were Alexander Lupachev, Director at Russia Partners and Edward Khaptakhaev, co-founder of, a turnkey platform for ICOs and Giga Watt – largest blockchain mining farm in North America, which raised US$ 22 million in an ICO last summer The discussion aroused great interest of more than 40 participants.

Alexander Nadmitov, the managing partner of “Nadmitov, Ivanov and Partners”, has made a report at the conference “Economy of a law firm”.

In speech he has raised financial issues in the conduct of legal business. In particular, his report has been devoted to the peculiarities of legal business, effective handling with accounts receivable and to the role of financial accounting in the provision of legal services. Alexander Nadmitov has noted the importance of understanding between provider and the client that legal services are valuable, they are not ephemeral. A cornerstone in that is payment for provided services, which ensures the survival of the legal business.  It is necessary to pay careful attention to documenting commitments, to use advance payments system, to develop a strategy for recovery and conduct due diligence. The report has received wide public interest  and  reaction of the audience at the conference.


Launch of tax practice and appointment of Victor Arkhipov as partner


FullSizeRenderNadmitov, Ivanov & Partners Law Firm is pleased to announce the launch of tax practice and appointment of Victor Arkhipov as a new partner of the firm. Mr. Arkhipov has got a wide experience in advising on tax law matters and presenting of clients’ interests in tax disputes.

Prior to joining the firm, Victor Arkhipov worked in tax practices of Pepeliaev Group in 2006-2017 and in FBK in 2002-2004. Victor attended international comparative law course at Leiden University (the Netherlands), graduated from the Russian School of Private Law (Master’s degree in Private Law, 2002) and from the Faculty of Law of Moscow State University (summa cum laude, Diploma in Law, 2000).

Victor advises on the following issues:

    • advising on tax consequences of current business activity in relation to the Russian income tax, VAT, the property tax, the personal income tax, insurance premiums;
    • advising on tax consequences of planned transactions on acquisition/sale of assets, shares in companies and enterprises, investment transactions;
    • advising on tax consequences of the planned forms and ways of restructuring, consolidation of assets, companies and enterprises;
    • income tax from sources in the Russian Federation and VAT for foreign companies which are carrying out the activity in the Russian Federation or selling goods, works and services to the Russian companies and individuals;
    • creation of permanent establishment and other tax obligations for the foreign companies carrying out business activity in the Russian Federation;
    • issues connected with application of Russian legislation on the controlled foreign companies, thin capitalization, transfer pricing, etc.
    • representation and protection of interests of Russian and foreign companies and also individuals at all stages of interaction with tax authorities (both prior to tax inspection and during its conducting and also after its finishing within pre-judicial and judicial disputing of acts, decisions and illegal actions / inaction of tax authorities).

The recent selected experience of Mr. Arkhipov includes:

  • advising and representation of interests of the American real estate fund on acquisition of the commercial real estate objects in the territory of the Russian Federation and also at subsequent negotiations and sale of properties and divestiture;
  • representation of interests of a large foreign company in the sphere of production and oil refining on a dispute with the Russian tax authorities;
  • advising on tax implication and deal structuring on acquisition and sale of assets in the territory of the Russian Federation by European, American and Asian companies;
  • advising on restructuring of strategic state companies and on relations with foreign investors and shareholders taking into account US and EU sanctions
  • drawing up enquiries to the Federal Tax Service of the Russian Federation, the Ministry of Finance of the Russian Federation and also participation in preparing legislative acts and proposed changes in the tax legislation of the Russian Federation
  • assistance to foreign investors and service providers in registration with the Russian tax authorities (on a so-called “Google tax “) and representation of their interests in interaction with the Russian tax authorities;
  • search and finding out clients’ tax overpayments and also representing their interests in interaction with tax authorities on refund or set-off of excessively paid taxes, including in court proceedings.

fhnOn 29 June 2017 Qiang Yu, Consultant and Head of Chinese Desk of Nadmitov, Ivanov & Partners has spoken at the 3 rd AccEssMeeting China-Russia: Annual Investment Road Show in Beijing. He spoke on the topic “Doing business in Russia. Establishing a Legal Presence. M&A. Antitrust regulation”.

The Road Show is aimed at association of investment opportunities of China and Russia, developing partnership with representatives of funds, holdings, conglomerates and investment banks of China.


Awards ceremony of winners of the competition “The Best Legal Departments — 2017”

On May 17, 2017 in the Peter and Paul Fortress of St. Petersburg the 12th awards ceremony of winners of the competition “The Best Legal Departments of Russia — 2017” took place, according to the magazine Legal Insight.

The firm has acted as the partner of a competition. The managing partner of the company Alexander Nadmitov and the partner Denis Kazakov were present at the ceremony.

78 legal departments in total have participated in the competition.


The round table on block chain within SPILF



Maxim Bashkatov talked at the 7th St. Petersburg International Legal Forum on a topic “The traditional system of law in the era of distributed registers technology: the catalyst of progress or transaction expenses?”

The issues related to the use of the block chain technology were discussed at a meeting as well as the subject of legal risks was touched due to the fact that the use of technology has a decentralized transnational character.

Leading Russian and international experts in the field of law and innovations acted as speakers during the discussion.



Speech at the Kuban legal forum



On April 14, 2017 Maxim Bashkatov gave a presentation at the Kuban legal forum on the subject “Reform of the Civil Code of the Russian Federation regarding financial transactions”.

The forum designed for discussion of the acute issues affecting interests of legal community and business as well as socially important problems took place in Krasnodar for the first time. Famous experts in the field of corporate, financial and civil law acted as speakers.

During the forum the modernization of the corporate legislation, the amendments of provisions of the Civil Code of the Russian Federation on transactions, the civil aspects of taxation were discussed as well as a number of other questions.

Denis Kazakov is appointed as the partner in public-private partnership practice

Denis has wide professional experience in legal support of the international sale and purchase transactions, independent works contracts, leasing, industrial cooperation, EPC contracts, and also in implementation of complex infrastructure projects in the format of public-private partnership.

Before joining the firm Mr. Kazakov held a position of the Deputy CEO in JSC Special Economic Zones, earlier he was responsible for the the international co-operation holding position of the Deputy Director of legal department in PJSC United Aircraft Corporation and managed the legal function in foreign trade association “Aviaexport”.

Denis obtained a master of laws degree with high honors from the law faculty of Peoples’ Friendship University of Russia in 1998.


Sergey Lapin is appointed as the partner in corporate and commercial practice

Before joining the firm Sergey Lapin worked as the senior lawyer in one of the leading international investment banks, and also as the lawyer in several leading international and Russian law firms. Sergey is fluent in English and French.

Mr. Lapin specializes in merger and acquisition transactions, capital markets, international arbitration and WTO law.  He has a wide experience in legal support of transactions of the large Russian and international companies and investment banks.

Sergey holds a Magister Juris degree granted by the University of Oxford and Diploma in Law from the Nizhny Novgorod State University (Russia).

Sergey Grigoriev is appointed as the counsel in litigation practice

Sergey has considerable professional experience in representing clients in various types of cases in arbitrazh courts: corporate disputes, debt collection cases and recovery of pledged assets, invalidation of transactions and decisions of government bodies, replevin cases, declaration of proprietary rights, the appeal of state regulations and actions of state agencies, damages claims and unjust enrichment, representation of interests in cases of bankruptcy of legal entities, and also in complex corporate and financial transactions.

Sergey is an advocate, in 2002 he graduated with high honors from RSUH majoring in “jurisprudence”.


Pavel Maruev is appointed as the senior lawyer of corporate practice

Mr. Maruev specializes in corporate and civil law. Pavel is fluent in English and German, heads the practice of firm on work with the German clients.

Before joining the firm Pavel worked as the senior lawyer in construction companies and the international law firms.

He graduated from the Academic Law University under the Institute of State and Law of Russian Academy of Sciences, Russian School of Private Law in 2003, was a scholar of DAAD at the Heidelberg University, Germany.
